Terms of Service

Welcome to mog.md (“we”, “us”, or “our”). By accessing or using our website, API, or CLI tool (mogmd) (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). Please read them carefully.

1. Acceptance of Terms

By creating an account, publishing a package, purchasing a package, or otherwise accessing the Service, you signify your acceptance of these Terms. If you do not agree to these Terms, you may not use the Service.

2. Account Registration and Security

To access most features of the Service, you must register for an account using GitHub or Google OAuth.

  • You are responsible for safeguarding your authentication credentials and any API tokens generated for your account.
  • You agree not to share your account or use another person's account without authorization.
  • You are responsible for all activities that occur under your account, including automated purchases made by AI agents using your configured spend policies.
  • You must notify us immediately of any actual or suspected unauthorized use of your account.

3. The Service

mog.md is a marketplace and package manager for AI agent skills. We provide infrastructure to discover, install, update, and sell versioned SKILL.md packages and related formats. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, temporarily or permanently, with or without notice. You agree that we will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

4. Purchases, Payments, and Wallets

All payments are processed securely via Stripe. By providing a payment method, you authorize us (or our payment processor) to charge that method for purchases or wallet top-ups. All fees are exclusive of applicable taxes, which you are solely responsible for paying.

  • Wallets and Auto Top-Up: You may fund a digital wallet to facilitate faster, agent-driven purchases. If you enable auto top-up, you authorize us to automatically charge your saved payment method when your balance falls below your configured threshold.
  • Platform Fee: We charge a 10% platform fee on all package sales. We reserve the right to adjust this fee; changes will apply only to future transactions after notice is posted.
  • Spend Policies: You are responsible for configuring spend policies to limit automated purchases by your AI agents. We enforce these limits server-side, but you are liable for all purchases made within those limits.
  • Refunds: All sales are final. We do not offer refunds unless required by law or in cases of demonstrable fraud or technical failure on our part.

5. Seller Terms

If you choose to publish and sell packages on mog.md, you must agree to the following additional terms:

  • Stripe Connect: You must successfully complete onboarding via Stripe Connect to receive payouts. Payouts are subject to Stripe's terms and processing times.
  • Package Content: You may only upload permitted file types (e.g., .md, .yaml, .txt, .json, .png, .jpg, .svg). Executable binaries are strictly prohibited.
  • Automated Scanning: All uploaded packages are subject to automated security scanning (including secrets detection and prompt injection checks) and quality scoring. We reserve the right to reject, unlist, or delete any package that fails these checks or violates our Acceptable Use Policy.
  • Intellectual Property: You retain ownership of the packages you create. By publishing a package, you grant mog.md a worldwide, non-exclusive, royalty-free license to host, distribute, and display the package to users who purchase or install it.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Distribute malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to any system.
  • Upload packages containing exposed secrets, private keys, or unauthorized API tokens.
  • Engage in abusive behavior, including attempting to bypass rate limits or artificially inflating package install counts or reviews.
  • Scrape, data-mine, or otherwise extract data from the Service in bulk without our prior written consent.
  • Violate any applicable laws, intellectual property rights, or the privacy of others.

7. API and CLI Usage

Your use of the mog.md API and the mogmd CLI tool is subject to rate limiting and token scope restrictions. We monitor usage to prevent abuse. Device authentication flows must be initiated and approved by an authorized user.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PACKAGES AVAILABLE THROUGH THE SERVICE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOG.MD AND ITS OPERATORS, AFFILIATES, AND EMPLOYEES (“RELATED PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM YOUR ACCESS TO OR USE OF THE SERVICE OR ANY PACKAGES DOWNLOADED FROM THE SERVICE.

OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless mog.md and its Related Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms or any applicable law; (c) your violation of any rights of a third party; or (d) any content you publish or distribute through the Service.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and without prior notice. Upon termination, your right to use the Service will immediately cease. Deleting your account will trigger a cascading deletion of your associated data (tokens, vendor profiles, wallets), subject to our data retention practices outlined in our Privacy Policy.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the website or via email. Changes will be effective 10 days following posting. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You agree to make a reasonable and good faith effort to resolve any dispute informally before initiating legal proceedings. Any claim must be brought within one year of the event giving rise to it, or such claim is waived to the maximum extent permitted by law.

14. DMCA / Copyright Policy

We respect the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with a written notice containing the information required by the Digital Millennium Copyright Act (DMCA) at legal@mog.md.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and mog.md regarding the Service, and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is held to be invalid, void, or unenforceable, that provision will be struck and the remaining provisions will remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment: We may assign or transfer our rights and obligations under these Terms without your consent. You may not assign or transfer your rights or obligations without our prior written consent.
